US LLC vs Corporation: Which is Right for You?

For founders outside the US expanding into the American market, the LLC vs. C-Corp decision is usually the first structural question — and the right answer depends more on your investors and exit plans than on tax rate alone.

An LLC is typically simpler and cheaper to maintain, with pass-through taxation avoiding the double taxation C-Corps face at the corporate and shareholder level — but that pass-through treatment can create complications for foreign owners depending on their home-country tax position.

A Delaware C-Corp is the standard structure expected by US venture investors, and is usually the right choice if you plan to raise institutional funding, since most US VC funds are structurally unable to invest in LLCs.

For a services business or a US subsidiary that will operate independently without US fundraising plans, an LLC is often the more practical and lower-maintenance option.
